Terms of Service

These Terms of Service are a binding agreement between you and SHOPPBAG LLC, a New Mexico limited liability company doing business as VisionFabrik. They apply to your access to and use of VisionFabrik, including any self-serve trial, paid subscription, order form, public website, dashboard, generated outputs, APIs, and support interactions.

If you register, buy, or use the service on behalf of an organization, you represent that you have authority to bind that organization, and references to "you" include both the individual user and the entity you represent.

VisionFabrik is intended for business, commercial, and professional creator use. You must be at least 18 years old and able to form a binding contract to use the service.

If mandatory consumer law applies to you, certain sections of these Terms may not apply to the extent prohibited by that law, but the rest of the Terms will remain in effect.

You must provide accurate account information, keep credentials secure, and promptly notify us of unauthorized access, security incidents, or suspected compromise involving your account or connected platforms.

• You are responsible for all activity under your account and for assigning access only to authorized personnel.
• You must maintain lawful rights to the emails, brands, media, channels, voices, and publishing destinations connected to the service.
• Administrators for a workspace are responsible for billing choices, user access, channel assignment, and account-level settings made through that workspace.

VisionFabrik may offer trials, recurring subscriptions, metered usage limits, promotional pricing, or negotiated commercial plans. Current plan terms, limits, and pricing are described in the product, checkout flow, order form, or invoice.

Subscriptions renew automatically for the billing cadence shown at checkout unless cancelled before renewal. Stripe may handle payment processing, invoices, payment methods, tax collection, credits, discounts, and subscription management for self-serve plans.

Fees are exclusive of taxes unless expressly stated otherwise. You are responsible for applicable sales tax, VAT, GST, withholding, and similar indirect taxes, except for taxes based on VisionFabrik net income.

Trials, early access, beta features, and experimental capabilities are offered for evaluation and may be modified, suspended, or withdrawn at any time. Beta features may have reduced reliability, incomplete functionality, or additional limitations.

We may add, remove, or change features, plan structures, limits, supported platforms, and pricing over time. We do not guarantee uninterrupted availability or permanent support for every feature, integration, or workflow.

You keep your rights in the prompts, media, data, and other content you provide to VisionFabrik. You grant us the limited rights needed to host, store, process, transform, reproduce, display, transmit, and otherwise use that content to operate, secure, and improve the service for you.

You are responsible for ensuring that you have all rights, permissions, and disclosures required to use your content, brands, likenesses, voices, scripts, source media, and publishing destinations. You are also responsible for reviewing generated outputs before publication and for complying with platform rules, advertising standards, disclosure obligations, and applicable laws in every market where you operate.

AI-generated outputs may not be unique and may contain mistakes, bias, omissions, or similarities to materials generated for others. VisionFabrik does not guarantee that outputs are accurate, non-infringing, lawful to publish, or suitable for any particular use without human review.

Certain features depend on third-party services such as payment processors, cloud storage providers, AI model providers, email vendors, media libraries, analytics vendors, and publishing platforms like YouTube or TikTok.

Your use of connected platforms may also be governed by those platforms' own terms and privacy notices. VisionFabrik is not responsible for third-party services, third-party terms, or changes made by those providers that affect compatibility, availability, distribution, or output quality.

You may use VisionFabrik only for lawful purposes and only in ways that do not violate these Terms, third-party rights, or platform policies.

• No fraud, impersonation, deceptive synthetic media, spam, harassment, unlawful surveillance, malware, or security abuse.
• No infringement or misuse of intellectual property, privacy, publicity, biometric, or confidentiality rights.
• No attempts to reverse engineer, benchmark, scrape, interfere with, overload, or gain unauthorized access to the service, models, infrastructure, or other users' data.
• No use of the service in violation of export controls, sanctions, embargoes, or other trade restrictions.

VisionFabrik and its software, interfaces, workflows, documentation, branding, models, configuration logic, and related technology are owned by VisionFabrik or its licensors and are protected by intellectual property and other laws.

If you provide feedback, suggestions, or ideas about the service, you grant VisionFabrik a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or obligation.

We may suspend or restrict access immediately if we believe an account violates these Terms, creates legal or operational risk, threatens service security or reliability, or is required to be suspended by law or a third-party provider.

You may stop using the service at any time. Cancellation of a subscription stops future renewals, but does not itself erase data or undo fees already incurred. Account deletion may require you to cancel active paid subscriptions first.

To the maximum extent permitted by law, VisionFabrik is provided on an "as is" and "as available" basis. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or trade usage.

We do not warrant that the service will be uninterrupted, error-free, secure, or compatible with every browser, device, workflow, platform API, or jurisdictional requirement. We do not guarantee any specific business result, audience growth, revenue outcome, or publishing performance.

To the maximum extent permitted by law, VisionFabrik will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or content, even if advised of the possibility of those damages.

To the maximum extent permitted by law, VisionFabrik's aggregate liability arising out of or relating to the service or these Terms will not exceed the greater of the amounts you paid to VisionFabrik for the service during the 12 months before the event giving rise to the claim or one hundred U.S. dollars (USD 100).

You will defend, indemnify, and hold harmless VisionFabrik and its officers, directors, employees, and agents from third-party claims, liabilities, damages, judgments, losses, and expenses arising out of your content, your use of the service, your connected platforms, or your violation of these Terms or applicable law.

Unless your order form says otherwise, these Terms and any dispute arising out of or relating to them are governed by the laws of New Mexico, USA, excluding conflict-of-law rules.

Subject to any non-waivable rights you may have under mandatory law, the state and federal courts located in New Mexico, USA will have exclusive jurisdiction over disputes arising from these Terms or the service, and each party consents to personal jurisdiction and venue in those courts.

We may update these Terms from time to time. If we make material changes, we will revise the effective date and may provide notice through the product, on the website, or by email. Continued use of VisionFabrik after the effective date of updated Terms means you accept the revised Terms.
